About the Role:
Epicor is seeking an Assistant General Counsel to join our team. The Assistant General Counsel will be a legal generalist who acts as the number two lawyer in the Legal Department, reporting to the Chief Legal Counsel. The Assistant General Counsel will provide legal advice and support to Epicor officers and employees worldwide in a dynamic, fast-paced environment.
What You’ll Do:
Act as the point of contact for important legal issues and global business initiatives, as well as requests for advice from a wide range of business clients across all functions and geographies.
Assist the General Counsel to prioritize and manage the workload of the Legal Department, with regard to budgetary constraints and the division of labor between inside and outside resources. Assist with the development and recognition of Legal Department members.
Maintain the corporate legal structure for operations in the Americas and coordinate with UK counsel for operations worldwide. Assure compliance with corporate governance requirements.
Draft, review and negotiate major contracts of all kinds, including agreements for SaaS services, software licenses, maintenance services, consulting services, managed/hosting services, tenders and RFPs and OEM arrangements (inbound and outbound) in the United State and internationally.
Advise the appropriate business functions on the fast-developing laws of privacy (including but not limited to HIPAA, CCPA and GDPR), data security, anti-corruption and e-commerce.
Oversee litigation involving Epicor or its employees and other types of dispute resolution, including arbitration and mediation.
Handle or manage mergers and acquisitions in all geographical areas, including negotiation, due diligence, letters of intent, asset and stock purchase agreements and related regulatory filings.
Liaise with outside counsel on specialist matters, such as for litigation, localization of company standards, regulatory and M&A matters.
Educate internal clients regarding policies and practice, legal issues and on customer contracting.
Maintain familiarity with laws and regulations relevant to Epicor’s business. Advise the organization about legislative and regulatory developments that may affect Epicor or its industry.
What You Need to Succeed:
Excellent academic credential, including a J.D. from a highly-ranked law school, and admission to practice law in at least one jurisdiction.
Minimum of 8 years’ progressive experience
General corporate and commercial experience
Team player with strong analytical skills and attention to detail, and a strong desire to automate and streamline manual processes.
